Engagement and Onboarding

Fees and Payment Terms

• NMCC Partners reserves the right to suspend services if payment is not received within the agreed timeframe.

• All fees are exclusive of VAT or applicable taxes unless stated otherwise.
Confidentiality
• NMCC Partners agrees to keep all information received from Clients confidential and will not disclose such information to third parties without prior written consent, except where required by law.
• Clients agree to respect the confidentiality of any proprietary or sensitive information shared by NMCC Partners as part of delivering services.
Intellectual Property
• All materials, methodologies, tools, and documents provided by NMCC Partners during the course of service delivery remain the intellectual property of NMCC Partners unless otherwise agreed in writing.
• Clients are granted a non-exclusive, non-transferable licence to use materials created for the specific purpose of their project or engagement.
• Clients must not copy, reproduce, or distribute NMCC Partners’ proprietary materials outside of their organisation without explicit written permission.
Client Responsibilities
• Clients are responsible for providing accurate and timely information necessary for NMCC Partners to deliver services effectively.
• Clients must ensure that their staff and representatives cooperate fully with NMCC Partners and participate in consultations, workshops, or meetings as required.
• Where coaching or consultancy is provided to individuals, Clients agree to support those individuals’ participation and development throughout the engagement.
Warranties and Disclaimers
• NMCC Partners delivers services based on best practice, professional experience, and industry knowledge. However, no guarantee is given as to the achievement of specific business outcomes unless stated in writing.
• While NMCC Partners strives for accuracy and effectiveness, all services are provided “as is” and without warranty of any kind, express or implied.
• Clients are responsible for their own business decisions and outcomes based on advice or materials provided.
• NMCC Partners is not liable for any indirect or consequential loss, including loss of profits, revenue, or opportunity, arising from service use.
Limitation of Liability
• The total liability of NMCC Partners for any claim arising out of or in connection with services provided, whether in contract, negligence, or otherwise, shall not exceed the amount paid by the Client for those specific services.
• Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability which cannot be limited or excluded by law.
Termination
• Either party may terminate an agreement by providing written notice in accordance with the terms set out in any specific engagement or proposal.
• On termination, the Client must pay NMCC Partners for all work completed and expenses incurred up to the date of termination.
• NMCC Partners may terminate or suspend services immediately if the Client breaches these Terms or any applicable agreement.
Data Protection and Privacy
• NMCC Partners is committed to protecting Client privacy and complying with applicable data protection laws, including the UK General Data Protection Regulation (GDPR).
• Personal information collected via the website or during services will be processed and stored securely and only used for the purpose for which it was collected.
